Welcome to Vendee X(“we,” “our,” or “us”). This page contains our Terms of Use and Privacy Policy. By using our website (vendee.la), our mobile applications, our smart vending machines, or any related services (collectively, the “Service”), you agree to these terms. If you do not agree, please discontinue use of the Service.

Part I — Terms of Use

1. Acceptance of Terms

By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms of Use. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

2. Description of Service

Vendee X provides smart vending machine hardware, software, and related services in the Lao PDR and Southeast Asia. Our Service includes:

• Smart Vending Machines — cashless, 24/7 automated retail machines deployed at partner locations.
• Mobile Application — a companion app for locating machines, making cashless payments (via BCEL One, YesPay, Lao QR), viewing transaction history, and managing loyalty rewards.
• Website (vendee.la) — company information, contact forms, blog content, and partner application forms.
• Backend Management System — a web-based dashboard for partners and operators to track sales, inventory, and machine status.
• OEM Manufacturing — custom-branded vending machine production.

3. User Accounts

Some features of the Service require you to create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are responsible for safeguarding your account credentials and for all activities that occur under your account. Notify us immediately at hello@vendee.la if you suspect unauthorized use.

4. Payments & Transactions

All payments made through our machines or mobile app are processed by third-party payment providers including BCEL One, YesPay, and Lao QR. We do not store full payment card numbers or bank credentials on our servers. Transaction amounts, timestamps, and payment method identifiers may be retained for record-keeping and dispute resolution.

You are responsible for ensuring sufficient funds are available in your chosen payment method. Vendee X is not liable for failed transactions caused by insufficient funds, network errors, or issues with the third-party payment provider.

5. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of Lao PDR law.
• Attempt to tamper with, reverse-engineer, or compromise any Vendee X machine, software, or network.
• Use any automated means (bots, scrapers) to access the Service without our prior written permission.
• Submit false, misleading, or fraudulent information through contact forms or partner applications.
• Interfere with or disrupt the operation of the Service or any third-party systems connected to it.

6. Intellectual Property

All content, trademarks, logos, software, hardware designs, PCB layouts, and proprietary systems associated with Vendee X are owned by or licensed to Vendee X Co., Ltd. and are protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our express written permission.

7. Limitation of Liability

To the fullest extent permitted by law, Vendee X Co., Ltd. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Service, whether based on warranty, contract, tort, or any other legal theory.

Our total liability for any claim arising from the Service shall not exceed the amount you paid us (if any) in the twelve (12) months preceding the claim.

8. Disclaimer of Warranties

The Service is provided on an “as is” and “as available” basis without warranties of any kind, either express or implied. We do not guarantee that the Service will be uninterrupted, error-free, or free of harmful components. Machine availability, product stock, and payment processing are subject to real-world conditions and third-party dependencies.

9. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Provisions that by their nature should survive termination (including intellectual property, limitation of liability, and governing law) shall survive.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Lao People’s Democratic Republic. Any disputes arising from these Terms or the Service shall be resolved in the courts of Vientiane, Lao PDR.

11. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated by posting the updated Terms on this page and updating the “Last updated” date. Continued use of the Service after changes constitutes acceptance of the revised Terms.

Part II — Privacy Policy

1. Information We Collect

We collect information that you provide directly to us and information automatically collected when you use the Service:

• Account Information: Name, email address, phone number, and (optionally) profile photo when you create an account.
• Transaction Data: Purchase history, amounts, timestamps, machine location, and payment method used.
• Contact Form Submissions: Name, email, phone, and message content submitted through our website contact form.
• Device Information: Device type, operating system, app version, IP address, and mobile network information.
• Location Data: Approximate location (derived from IP) and, with your permission, precise location to show nearby machines.
• Usage Data: Pages visited, features used, session duration, and interaction events within the app and website.
• Loyalty Program Data: Points earned, coupons used, rewards redeemed, and related activity.

2. How We Use Your Information

We use the collected information to:

• Provide, operate, and maintain the Service.
• Process transactions and deliver purchased products.
• Send service-related communications (receipts, restock alerts, account updates).
• Personalize your experience (nearby machines, product recommendations).
• Improve our Service through analytics and user behavior insights.
• Prevent fraud, abuse, and unauthorized access.
• Comply with legal obligations.
• Send marketing communications (only with your consent, with opt-out available at any time).

3. Payment Information

Payment processing is handled by third-party providers (BCEL One, YesPay, Lao QR). We do not collect or store your full bank account numbers, card numbers, PINs, or payment credentials. Our systems receive only a transaction confirmation token and the last four digits of the payment method identifier for receipt purposes.

4. Data Sharing & Disclosure

We do not sell your personal data. We may share information in the following circumstances:

• Service Providers: With third-party vendors who help us operate the Service (cloud hosting, analytics, email delivery, payment processing), bound by data processing agreements.
• Business Partners: Machine location partners receive aggregated, anonymized sales data only — never individual customer identities.
• Legal Requirements: If required by law, court order, or governmental authority in the Lao PDR.
• Business Transfers: In connection with a merger, acquisition, or sale of assets, your data may be transferred subject to the same privacy protections.
• With Your Consent: In any other circumstance with your explicit permission.

5. Data Retention

We retain personal data for as long as necessary to provide the Service and fulfill the purposes described in this policy. Transaction records are retained for a minimum of 5 years as required for financial record-keeping. Account data is retained until you request deletion. Contact form submissions are retained for 2 years for customer service reference.

6. Data Security

We implement appropriate technical and organizational measures to protect your personal data, including encryption in transit (TLS), encryption at rest, access controls, and regular security assessments. However, no method of electronic storage or transmission is 100% secure. We cannot guarantee absolute security.

7. Your Rights

Depending on your jurisdiction, you may have the following rights regarding your personal data:

• Correction: Request that we correct inaccurate or incomplete data.

Our Service is not directed to individuals under the age of 13 (or the applicable age of digital consent in your country). We do not knowingly collect personal data from children. 9. Third-Party Services

Our Service integrates with third-party services including:

• BCEL One / BCEL OnePay: Mobile banking and QR payment services operated by Banque pour le Commerce Extérieur Lao.
• YesPay: Digital payment platform.
• Lao QR: National QR code payment standard.
• Cloudflare Turnstile: Bot protection on our contact forms.
• Resend: Transactional email delivery.
• Vercel Analytics: Anonymous website usage analytics.

These third parties have their own privacy policies. We encourage you to review them. Vendee X is not responsible for the privacy practices of third-party services.

10. International Data Transfers

Your data may be stored and processed on servers located outside the Lao PDR, including in the United States and Singapore (via our cloud infrastructure providers). We ensure that adequate safeguards are in place for any such transfers in accordance with applicable data protection laws.

11. Cookies & Tracking

Our website uses essential cookies for functionality (session management) and analytics cookies (Vercel Analytics) to understand usage patterns. Our mobile app may use device identifiers for analytics and fraud prevention. You can disable cookies in your browser settings, though some features may not function properly.

12. Changes to Privacy Policy

We may update this Privacy Policy from time to time. Material changes will be posted on this page with an updated “Last updated” date. For significant changes, we will notify registered users via email or in-app notification. Continued use after changes constitutes acceptance.
